Forming a U.S. company is much simpler than it seems when you go in the right order. Here are the steps:
1. Choose the Structure and State
LLC or corporation, and which state? Where you operate, your investor plans and annual costs drive this decision.
2. Choose a Company Name
It must be unique in your state and include an ending such as “LLC” or “Inc.”. Some words (Bank, Insurance, etc.) need extra approval.
3. Appoint a Registered Agent
An agent in the state to accept official notices is mandatory.
4. File Your Formation Document
Articles of Organization for an LLC or Articles of Incorporation for a corporation are filed with the state and the fee is paid.
5. Get an EIN
After state approval, your company’s federal tax number is obtained from the IRS.
6. Prepare an Operating Agreement / Bylaws
It documents ownership and management rules — banks often ask for it.
7. Bank Account and Bookkeeping
Keep company income and expenses separate from personal accounts and set up bookkeeping from day one.
8. Put Annual Obligations on the Calendar
Annual reports, franchise tax, registered agent renewal and tax returns. Our portal tracks these dates for you.
