Forming a Company in Delaware
With sophisticated corporate law and the Court of Chancery, Delaware is the standard choice — especially for corporations planning to raise investment.

Why Is Delaware So Popular?
Delaware corporate law is established and predictable, and its Court of Chancery specializes in business disputes. That’s why venture funds and angel investors typically prefer a Delaware C-Corporation.
Is It Good for LLCs?
Delaware LLCs pay a flat $300 annual tax every June 1. For small businesses without investor plans, Wyoming or the state where you operate may be more economical. A Delaware company that actually operates in another state must also register there (foreign qualification).
Corporation Requirements
Delaware corporations file an annual report and franchise tax by March 1 each year. Franchise tax can vary significantly with the calculation method; our accounting and tax team can help you use the right one.
Fees and dates are for information; states may change them. The current amount is confirmed when you apply.
